These Terms of Service ("Terms") govern your access to and use of zerothcode.com (the "Site") and any services provided by Zerothcode IT Solution Pvt Ltd (India) or Zerothcode IT Solution Ltd (United Kingdom) - together "Zerothcode", "we", "us" or "our". By accessing the Site or engaging our services, you agree to be bound by these Terms.
By browsing our Site, submitting an enquiry, signing a proposal or statement of work, or otherwise engaging Zerothcode for services, you confirm that you have read, understood and agree to these Terms. If you are entering into an agreement on behalf of a company, you confirm you have authority to bind that company.
Zerothcode is an IT solutions company operating through two legal entities:
The contracting entity for any specific engagement will be identified in your proposal, quote or statement of work.
Zerothcode provides custom software development, website design and development, e-commerce development, mobile app development, CRM development, AI integration and automation, and digital marketing services (collectively, the "Services"). The specific scope, deliverables, timeline and price for a Service are agreed in writing (via proposal, quote, statement of work or email confirmation) before work begins.

Delays caused by late feedback, content or approvals may extend project timelines accordingly.
Quotes are valid for 30 days from the date issued unless stated otherwise. Depending on the engagement model (Dedicated Team, Hourly, or Fixed Price), payment terms will be set out in your proposal or invoice, and typically include an upfront deposit for fixed-price projects, with the balance due on agreed milestones or delivery. Late payments may result in a pause of work until outstanding invoices are settled.
Estimated timelines are provided in good faith based on the agreed scope. Timelines may shift due to scope changes, delayed client feedback, or factors outside our reasonable control. We will communicate any material timeline changes as soon as we become aware of them.
Unless otherwise agreed in writing, upon full payment for a completed project, ownership of the final deliverables (source code, designs and assets created specifically for you) transfers to the client. Zerothcode retains the right to reuse general methodologies, frameworks, libraries and know-how developed independently of your specific project, and to display completed work in our portfolio unless you request otherwise in writing.
Each party agrees to keep confidential any non-public business, technical or financial information disclosed by the other party during an engagement, and to use it only for the purpose of delivering or receiving the Services.
We warrant that Services will be performed with reasonable skill and care. Except as expressly stated, Services are provided "as is" without further warranties of any kind, whether express or implied, including fitness for a particular purpose, to the maximum extent permitted by applicable law.
To the maximum extent permitted by law, Zerothcode's total liability arising out of or relating to an engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental or consequential damages, including loss of profits, data or business opportunity.
Either party may terminate an ongoing engagement with written notice as specified in the relevant proposal or statement of work (typically 14-30 days for ongoing/retainer engagements). Upon termination, the client will pay for all work completed up to the termination date, and Zerothcode will deliver all completed and paid-for work product.

Where the contracting entity is Zerothcode IT Solution Pvt Ltd, these Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts of Gujarat, India. Where the contracting entity is Zerothcode IT Solution Ltd, these Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Continued use of our Site or Services after changes are posted constitutes acceptance of the revised Terms. Material changes affecting an active engagement will be communicated directly to the client.
